WELCOME TO PRIVILEGEZ PLATFORM (the "Service"). The following sets forth the terms and conditions of the Privilegez Member Agreement (this "Agreement") between you (“Member”) and Privilegez c/o CITY DMC Pte Ltd ("Privilegez") under which Privilegez offers you access to the Service through the web sites identified by URL www.privilegez.com (the "Site") and Privilegez Mobile Application (“Privilegez App”). Use of the Service indicates that you accept the terms and conditions set forth below. If you do not accept all of the terms and conditions, we will be unable to continue Service. BY COMPLETING THE REGISTRATION PROCESS AND CLICKING THE "SIGN UP" BUTTON, YOU ARE INDICATING YOUR CONSENT TO BE BOUND BY THIS AGREEMENT, THE SITE’S TERMS OF USE AGREEMENT, PRODUCT LISTING POLICY AND PRIVACY POLICY WHICH ARE INCORPORATED HEREIN BY REFERENCE (COLLECTIVELY REFERRED TO AS THE "TERMS OF USE"). The Privilegez Member Agreement will not take effect unless and until you have activated your Account.

Privilegez may amend this Agreement at any time by posting the amended and restated Agreement on the Site. The amended and restated Agreement will take immediate effect when published. Posting by Privilegez of the amended and restated Agreement and your continued use of the Service shall be deemed to be acceptance of the amended terms.

The Service

The Service will be offered free-of-charge for an unspecified time period unless terminated in accordance with the terms of this Agreement.

The Service will have the following core features (which may be added to or modified, or suspended for scheduled or unscheduled maintenance purposes, from time to time at the sole discretion of Privilegez and notified to you) :

User Profile: Allow Privilegez member to store and apply user information & profile.

PvPointz: Allow Privilegez member to accumulate Privilegez PvPointz and redeem rewards & products from Privilegez.

*Privilegez Members agree that for receipt claim, the value must be a minimum of USD $10 and capped at a maximum of USD $1000. Claim must be submitted within 48 hours of purchase. For non-receipt claim, a minimum value of USD $0 is permitted.

Privilegez may suspend or terminate all or part of the Privilegez memberships at any time in its sole discretion. Privilegez reserves the right to charge for the Service or any feature or functionality of the Service at any time in its sole discretion.

Benefits, features and functions available to a member may vary for different countries and regions. No warranty or representation is given that a particular feature or function or the same type and extent of features and functions will be available.

The availability of any transactional features and functions on the Site to any Member may be conditional on verification of Member’s identity and/or its designated account by Privilegez and/or its approved independent third parties.

Privilegez shall issue a Member ID and Password (the latter shall be chosen by the Member during registration) to each Member to access the Service through such Member's Account. Upon registration on Privilegez, member will also be granted an account in Privilegez.com (A partner of Privilegez that provides more redemption services for members) with the same Member information, Member ID and Password registered on Privilegez. Members are deemed to have read and agree on the Terms & Conditions and Privacy Policy of Privilegez.com should they login in Privilegez and/or use the services available on Privilegez using the same Member ID and Password they registered on Privilegez. Each Member shall be solely responsible for maintaining the confidentiality of its Member ID and Password and for all activities that occur under the Member ID and Password. A set of Member ID and Password is unique to a single Account and no Member shall share, assign or permit the use of its Account, Member ID or Password to another person outside of the Member's business entity. Each Member acknowledges that sharing of its Account with other persons, or allowing multiple users outside of its business entity to use its Account (collectively, "multiple use"), may cause irreparable harm to Privilegez and each Member shall indemnify Privilegez against any loss or damages (including but not limited to loss of profits) suffered by Privilegez as a result of such multiple use of an Account. Each Member hereby undertakes to notify Privilegez immediately of any unauthorized use of its Account, Member ID or Password or any other breach of security. Each Member hereby agrees that Privilegez shall not be liable for any loss or damages arising from the Member's failure to comply with this paragraph. 

Privilegez reserves the right to change, upgrade, modify, limit or suspend the Service or any of its related functionalities or applications at any time temporarily or permanently without prior notice. Privilegez further reserves the right to introduce new features, functionalities, applications or conditions to the Service or to future versions of the Service. All new features, functionalities, applications, conditions, modifications, upgrades and alterations shall be governed by this Agreement, unless otherwise stated by Privilegez.

Each Member acknowledges that inability to use the Service wholly or partially for whatever reason may have adverse effects on its business. Each Member hereby agrees that in no event shall Privilegez be liable to the Member or any third parties for any inability to use the Service (whether due to disruption, changes to or termination of the Service or otherwise), any delays, inaccuracies, errors or omissions with respect to any communications or transmission or delivery of all or any part thereof, or any damage (direct, indirect, consequential or otherwise) arising from the use of or inability to use the Service.

All value stored in Privilegez membership Account, regardless of accumulation method, can only be used for redemption or purchase of products, anti-money laundering policy dictates that under NO CIRCUMSTANCES points can be exchanged for cash.

Member Responsibilities

Each Member hereby represents, warrants and agrees to (a) provide true, accurate, current and complete information about itself and its business references as may be required by Privilegez and (b) maintain and promptly amend all information to keep it true, accurate, current and complete. Each Member hereby grants an irrevocable, perpetual, worldwide and royalty-free, sub-licensable (through multiple tiers) license to Privilegez to display and use all information provided by such Member in accordance with the purposes set forth in this Agreement and to exercise the copyright, publicity, and database rights you have in such material or information, in any media now known or not currently known.

Each Member hereby represents, warrants and agrees that the use by such Member of the Service and the Site shall not:

• contain fraudulent information or make fraudulent offers of items or involve the sale or attempted sale of counterfeit or stolen items or items whose sales and/or marketing is prohibited by applicable law, or otherwise promote other illegal activities;
• be part of a scheme to defraud other Members or other users of the Site or for any other unlawful purpose;
• infringe or otherwise abet or encourage the infringement or violation of any third party's copyright, patent, trademarks, trade secret or other proprietary right or rights of publicity and privacy or other legitimate rights;
• impersonate any person or entity, misrepresent yourself or your affiliation with any person or entity;
• violate any applicable law, statute, ordinance or regulation (including without limitation those governing export control, consumer protection, unfair competition, anti-discrimination or false advertising);
• contain information that is defamatory, libelous, unlawfully threatening or unlawfully harassing;
• contain information that is obscene or contain or infer any pornography or sex-related merchandising or any other content or otherwise promotes sexually explicit materials or is otherwise harmful to minors;
• promote discrimination based on race, sex, religion, nationality, disability, sexual orientation or age;
• contain any material that constitutes unauthorized advertising or harassment (including but not limited to spamming), invades anyone's privacy or encourages conduct that would constitute a criminal offence, give rise to civil liability, or otherwise violate any law or regulation;
• involve attempts to copy, reproduce, exploit or expropriate Privilegez's various proprietary directories, databases and listings;
• involve any computer viruses or other destructive devices and codes that have the effect of damaging, interfering with, intercepting or expropriating any software or hardware system, data or personal information; and l) involve any scheme to undermine the integrity of the computer systems or networks used by Privilegez and/or any user of the Service and no Member shall attempt to gain unauthorized access to such computer systems or networks;
• link directly or indirectly to or include descriptions of goods or services or other materials that violate any law or regulation or are prohibited under this Agreement or the Terms of Use; or
• otherwise create any liability for Privilegez or its affiliates.

Privilegez members consents to receive any information not limited to offers, promotions, invitations etc, from Privilegez, Privilegez Partners or any Privilegez Merchants upon signing up.

Privilegez memberS shall not take any action which may undermine the integrity of Privilegez's feedback system, such as leaving positive feedback for merchant which user has direct or indirect benefits with and using primary or secondary Privilegez member IDs to log negative feedback for another Merchant. Privilegez reserves the right to provide such details as evidence if requested by law.

Each Member acknowledges and agrees that Privilegez shall not be required to actively monitor nor exercise any quality control oversight on products or service sold through the Service. Privilegez does not endorse, verify or otherwise certify the contents of any comments or other material or information made by any Merchant. Each Merchant is solely responsible for the contents of their communications and may be held legally liable or accountable for the content of their comments or other material or information.

If any Member breaches the representations, warranties and covenants of the paragraphs above, or if Privilegez has reasonable grounds to believe that such Member is in breach of such representations, warranties and covenants, or if upon complaint or claim from any other Member or third party, Privilegez has reasonable grounds to believe that such Member has willfully or materially failed to perform its obligations as a Member. If Privilegez has reasonable grounds to believe that a Privilegez member has used a stolen credit card or other false or misleading information in any online transaction, Privilegez has the right to suspend or terminate the Service and all Free Member Benefits with respect to such Member without any compensation, and restrict or refuse any and all current or future use of the Service or any other services that may be provided by Privilegez. Further, Privilegez reserves the right in it sole discretion reserves the right to cooperate fully with governmental authorities, private investigators and/or injured third parties in the investigation of any suspected criminal or civil wrongdoing. Further, Privilegez may disclose the Member's identity and contact information, if requested by a government or law enforcement body, an injured third party, or as a result of a subpoena or other legal action, and Privilegez shall not be liable for damages or results thereof and Member agrees not to bring any action or claim against Privilegez for such disclosure. In connection with any of the foregoing, Privilegez may suspend or terminate the Account of any Member as Privilegez deems appropriate in its sole discretion.

Each Member agrees to indemnify Privilegez, its employees, agents and representatives and to hold them harmless, from any and all losses, claims and liabilities (including legal costs on a full indemnity basis) which may arise from its submissions, posting of materials or deletion thereof, from such Member's use of the Service or from such Member's breach of this Agreement. Each Member further agrees that Privilegez is not responsible, and shall have no liability to it or anyone else for any material posted by such Member or third parties, including fraudulent, untrue, misleading, inaccurate, defamatory, offensive or illicit material and that the risk of damage from such material rests entirely with each Member. Privilegez reserves the right; at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by the Member, in which event the Member shall cooperate with Privilegez in asserting any available defenses.

Transactions Between Consumer And Merchants

Through the Site, Privilegez provides an electronic web-based platform & mobile application for exchanging information and concluding sale and purchase transactions of products and services, award and deduct reward points online between buyers and suppliers. Privilegez reserves the right to limit certain features and functions of the platform to prescribed Members. Despite the provision of the platform through the Service, Privilegez does not represent the seller or the buyer in specific transactions whether or not such transactions are made on or via the Site. Privilegez does not control and is not liable to or responsible for the quality, safety, lawfulness or availability of the products or services offered for sale on the Site or the ability of the suppliers to complete a sale or the ability of buyers to complete a purchase.

Members are hereby made aware that there may be risks of dealing with merchants despite. Privilegez stringent assessment process for merchant sign up. While the Service aims to provide only quality and reliable merchants, merchants operate independently from Privilegez and thus the Service has limited controls over merchant performance.

Each Member acknowledges that it is fully assuming the risks of purchase and sale transactions when using the Service to conduct transactions. Such risks shall include, but not limited to, mis-representation of products and services, fraudulent schemes, unsatisfactory quality, failure to meet specifications, defective products, delay or default in delivery or payment, cost mis-calculations, breach of warranty, breach of contract and transportation accidents ("Transaction Risks"). Each Member agrees that Privilegez shall not be liable or responsible for any damages, liabilities, costs, harms, inconveniences, business disruptions or expenditures of any kind that may arise a result of or in connection with any Transaction Risks.

Members are solely responsible for all of the terms and conditions of the transactions conducted on, through or as a result of use of the Service, including, without limitation, terms regarding payment, returns, warranties, shipping, insurance, fees, taxes, title, licenses, fines, permits, handling, transportation and storage.

Member agrees to provide all information and materials as may be reasonably required by Privilegez in connection with its transactions made via the transactional platform on the Site. Privilegez has the right to suspend or terminate any Member’s Account if the Member fails to provide the required information and materials.

In the event that any Member has a dispute with any party to a transaction, such Member agrees to release and indemnify Privilegez (and our agents, affiliates, directors, officers and employees) from all claims, demands, actions, proceedings, costs, expenses and damages (including without limitation any actual, special, incidental or consequential damages) arising out of or in connection with such transaction.

Limitation Of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, AND PRIVILEGEZ HEREBY EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF CONDITION, QUALITY, DURABILITY, PERFORMANCE, ACCURACY, RELIABILITY, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. ALL SUCH WARRANTIES, REPRESENTATIONS, CONDITIONS, UNDERTAKINGS AND TERMS ARE HEREBY EXCLUDED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRIVILEGEZ MAKES NO REPRESENTATIONS OR WARRANTIES ABOUT THE VALIDITY, ACCURACY, RELIABILITY, QUALITY, STABILITY, COMPLETENESS OR CURRENTNESS OF ANY INFORMATION PROVIDED ON OR THROUGH THE SITE.

Any material downloaded or otherwise obtained through the use of the Service is done at each Member's sole discretion and risk and each Member is solely responsible for any damage to its computer system or loss of data that results from the download of any such material. No advice or information, whether oral or written, obtained by any Member from Privilegez or through or from the Service shall create any warranty not expressly stated in this Agreement.

The Service may make available to User services or products provided by independent third parties. No warranty or representation is made with regard to such services or products. In no event shall Privilegez and its affiliates be held liable for any such services or products.

Under no circumstances shall Privilegez be held liable for any delay or failure or disruption of the Service resulting directly or indirectly from acts of nature, forces or causes beyond its reasonable control, including without limitation, Internet failures, computer, telecommunications or any other equipment failures, electrical power failures, strikes, labor disputes, riots, insurrections, civil disturbances, shortages of labor or materials, fires, flood, storms, explosions, Acts of God, war, governmental actions, orders of domestic or foreign courts or tribunals or non-performance of third parties.

Privilegez shall not be liable for any special, direct, indirect, punitive, incidental or consequential damages or any damages whatsoever (including but not limited to damages for loss of profits or savings, business interruption, loss of information), whether in contract, negligence, tort or otherwise or any other damages resulting from any of the following:

• the use or the inability to use the Service;
• any defect in goods, samples, data, information or services purchased or obtained from a Member or a third-party service provider through the Site;
• unauthorized access by third parties to data or private information of any Member;
• statements or conduct of any user of the Site; or
• any other matter relating to the Service however arising, including negligence.

Notwithstanding any of the foregoing provisions, the aggregate liability of Privilegez, its employees, agents, affiliates, representatives or anyone acting on its behalf with respect to each Member for all claims arising from the use of the Service or the Site shall be limited to SGD $15. The preceding sentence shall not preclude the requirement by the Member to prove actual damages. All claims arising from the use of the Service must be filed within either one (1) year from the date the cause of action arose or such longer period as prescribed under any applicable law governing this Agreement.

Intellectual Property Rights

Privilegez is the sole owner or lawful licensee of all the rights to the Service. The Service embodies trade secrets and intellectual property rights protected under international Patent and other laws. All title, ownership and intellectual property rights in the Service shall remain with Privilegez or its affiliates. All rights not otherwise claimed under this Agreement or by Privilegez are hereby reserved.

"Privilegez" and related icons and logos are registered trademarks or trademarks or service marks of Privilegez c/o CITY DMC Pte Ltd, The unauthorized copying, modification, use or publication of these marks is strictly prohibited.

General

This Agreement and the Terms of Use constitute the entire agreement between the Member and Privilegez with respect to and governs the use of the Service, superseding any prior written or oral agreements in relation to the same subject matter herein.

Privilegez and the Member who are individual users relationship is intended or created by this Agreement.

If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.

Headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section.

Privilegez's failure to enforce any right or failure to act with respect to any breach by a Member under this Agreement will not waive that right nor waive Privilegez's right to act with respect with subsequent or similar breaches.

Privilegez shall have the right to assign this Agreement (including all of its rights, titles, benefits, interests, and obligations and duties in this Agreement) to any person or entity (including any affiliates of Privilegez). The Member may not assign, in whole or part, this Agreement to any person or entity.

THIS AGREEMENT SHALL BE GOVERNED BY THE LAWS OF THE REPUBLIC OF SINGAPORE (“SINGAPORE”)

If there is any conflict between the English version and another language version of this Agreement, the English version shall prevail.

Your Personal Data is important to us. The purpose of this document ("Privacy Policy") is to inform you of how Privilegez c/o City DMC Pte Ltd (“Privilegez) manages Personal Data which is subject to the Singapore Personal Data Protection Act (No. 26 of 2012) ("the Act"). Please take a moment to read this Privacy Policy so that you know and understand the purposes for which we collect, use and disclose your Personal Data.

By interacting with us, submitting information to us, enrolling or signing up for any products or services offered by us, you agree and consent to the Privilegez, as well as their respective representatives and/or agents ("Representatives") (the Companies and Representatives collectively referred to herein as "Privilegez", "us", "we" or "our") collecting, using, disclosing and sharing amongst themselves your Personal Data, and disclosing such Personal Data to the Companies' authorised service providers and relevant third parties in the manner set forth in this Privacy Policy.

This Privacy Policy supplements but does not supersede nor replace any other consents you may have previously provided to Privilegez in respect of your Personal Data, and your consents herein are additional to any rights which to any of the Companies may have at law to collect, use or disclose your Personal Data.

Privilegez may from time to time update this Privacy Policy to ensure that this Privacy Policy is consistent with our future developments, industry trends and/or any changes in legal or regulatory requirements. Subject to your rights at law, you agree to be bound by the prevailing terms of this Privacy Policy as updated from time to time on our website www.privilegez.com/privacypolicy.html. Please check back regularly for updated information on the handling of your Personal Data.

1. when you submit any form, including but not limited to application, declaration, proposal or referral forms;
2. when you enter into any agreement or provide other documentation or information in respect of your interactions and transactions with us, or when you use our services;
3. when you interact with our staff, including customer service officers, relationship managers and other representatives, for e.g. via telephone calls (which may be recorded), letters, fax, face-to-face meetings, digital platforms (including social media) and email;
4. when you use some of our services provided through online and other technology platforms, eg. websites and apps including when you establish any online accounts with us;
5. when you use our electronic services, or interact with us via our websites, mobile application or use services on our websites and/or mobile application;
6. when you request that we contact you, be included in an email or other mailing list; or when you respond to our request for additional Personal Data, our promotions and other initiatives;
7. when you are contacted by, and respond to, our marketing representatives and agents and other service providers;
8. when we receive references from business partners and third parties, for example, where you have been referred by them;
9. when your images are or videos taken by us or our representatives when you attend events hosted by us;
10. when you submit your Personal Data to us for any other reason.

1. responding to, processing and handling your queries, complaints, feedback, suggestions and requests;
2. verifying your identity;
3. managing the administrative and business operations of the Companies and complying with internal policies and procedures;
4. matching any Personal Data held which relates to you for any of the purposes listed herein;
5. requesting feedback or participation in surveys, as well as conducting market research and/or analysis for statistical, profiling or other purposes for us to design our products, understand customer behaviour, preferences and market trends, and to review, develop and improve the quality of our products and services;
6. preventing, detecting and investigating crime, including fraud and money-laundering or terrorist financing, and analysing and managing commercial risks;
7. project management;
8. providing media announcements and responses;
9. organizing promotional events;
10. in connection with any claims, actions or proceedings (including but not limited to drafting and reviewing documents, transaction documentation, obtaining legal advice, and facilitating dispute resolution), and/or protecting and enforcing our contractual and legal rights and obligations;
11. managing and preparing reports on incidents and accidents;
12. complying with any applicable rules, laws and regulations, codes of practice or guidelines or to assist in law enforcement and investigations by relevant authorities (including but not limited to disclosures to regulatory bodies, conducting audit checks, surveillance and investigation or conducting customer due diligence);
13. any other purposes relating to the aforesaid.

If you are a Member of the Privilegez Platform

1. providing communication products, in particular to convey the communications you make by means of our services;
2. provide the services and customer support you request;
3. resolve disputes, collect fees, and troubleshoot problems;
4. customize, measure and improve our services, content and advertising;
5. offering and informing you of the benefits under Privilegez;
6. informing you about service updates, delays and/or faults;
7. requesting feedback or participation in on-line surveys;
8. conducting market research for statistical, profiling or other purposes;
9. organising and carrying out marketing or promotional operations and similar events; and
10. any other purposes relating to the aforesaid.

You should ensure that all Personal Data submitted to us is complete, accurate, true and correct. Failure on your part to do so may result in delays in the processing of your application, or our inability to process your application.

1. providing or marketing services, products and benefits to you, including promotional offers, loyalty and reward programmes;
2. matching Personal Data with other data collected from time to time for other purposes and from other sources (including third parties) in connection with the provision or offering of products and services, whether by any of the Companies or other third parties;
3. sending you details of products, services, special offers and rewards, either to our customers generally, or which the Companies have identified may be of interest to you; and
4. conducting market research, understanding and analysing customer behaviour, location, preferences and demographics for the Companies to offer you products and services as well as special offers and marketing programmes which may be relevant to your preferences or profile.

As part of the work of running the program, your personal details may be disclosed to vendors, partners and merchants you are claiming Points awards from or making Redemptions.

With respect, but not limited to:

A) giving us sample documents like receipts, poster advertisements

B) giving us details of the range of numbers for receipts

C) 7 days to dispute any points to be awarded in the merchant portal (failing which all points awards are final)

D) twice monthly billings for points awarded

E) 14 days payment terms

4.  Disclosure of Personal Data

4.1  Privilegez will take reasonable steps to protect your Personal Data against unauthorised disclosure. Subject to the provisions of any applicable law, your Personal Data may be provided, for the purposes listed above (where applicable), to the following entities or parties, whether they are located in Singapore or overseas:

1. Privilegez's related corporations;
2. companies providing deals & services on Privilegez Platform;
3. agents, contractors or third party service providers who provide operational services to Privilegez, such as merchants and/or partners that are providing deals, offers, pre-purchase items, points rebates (cashback), products / rewards for redemption, or other services to Privilegez;
4. vendors or other third party service providers in connection with products and services offered by Privilegez;
5. any business partner, investor, assignee or transferee (actual or prospective) to facilitate business asset transactions (which may extend to any merger, acquisition or asset sale) involving any of the Companies;
6. where we require payment from you, your banks, credit card companies and their respective service providers;
7. third party referrers;
8. our co-brand and other business partners;
9. external business and charity partners in relation to corporate promotional events;
10. our professional advisers such as our auditors and lawyers;
11. relevant government regulators or authority or law enforcement agency to comply with any laws, rules and regulations or schemes imposed by any governmental authority such as the Monetary Authority of Singapore, the Ministry of Manpower, the Ministry of Health and the Central Provident Fund Board; and
12. any other party to whom you authorise us to disclose your Personal Data to. 

5.  Use of Cookies

5.1  When you interact with us on our websites, we automatically receive and record information on our server logs from your browser. We may employ cookies in order for our server to recognise a return visitor as a unique user including, without limitation, monitoring information relating to how a visitor arrives at the website, what kind of browser a visitor is on, what operating system a visitor is using, a visitor's IP address, and a visitor's click stream information and time stamp (for example, which pages they have viewed, the time the pages were accessed and the time spent per web page).

5.2  Cookies are small text files placed in the 'Cookies' folder on your computing or other electronic devices which allow us to remember you. The cookies placed by our server are readable only by us, and cookies cannot access, read or modify any other data on an electronic device. All web-browsers offer the option to refuse any cookie, and if you refuse our cookie then we do not gather any information on that visitor.

5.3  Should you wish to disable the cookies associated with these technologies, you may do so by changing the setting on your browser. However, you may not be able to enter certain part(s) of our website.

6.  Data Security

6.1  Privilegez will take reasonable efforts to protect Personal Data in our possession or our control by making reasonable security arrangements to prevent unauthorised access, collection, use, disclosure, copying, modification, disposal or similar risks. However, we cannot completely guarantee the security of any Personal Data we may have collected from or about you, or that for example no harmful code will enter our website (for example viruses, bugs, trojan horses, spyware or adware). You should be aware of the risks associated with using websites.

6.2  While we strive to protect your Personal Data, we cannot ensure the security of the information you transmit to us via the Internet, and we urge you to take every precaution to protect your Personal Data when you are on the Internet.
